Standard Terms & Conditions of Engagement

These Terms & Conditions ("Terms") apply to the provision of workshop services by The Busy Brain ("we", "us" or "our") to business clients ("you" or "your"). By commissioning our services, you agree to these Terms. If you do not agree, please do not proceed.

1. Services
We provide educational and/or training workshops as agreed in writing (email suffices). Workshops may be delivered in-person or online.

2. Fees and Payment
2.1 Fees are set out in our proposal or email confirmation.
2.2 Invoices are payable within 21 days of the invoice date.
2.3 We are not VAT registered.
2.4 We reserve the right to charge interest on overdue payments at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.

3. Intellectual Property
3.1 We retain ownership of all intellectual property and materials provided or displayed during the workshop unless expressly agreed otherwise.
3.2 You are granted a non-exclusive, non-transferable licence to use workshop materials for your internal business use only. You may not reproduce or distribute them without our written permission.

4. Cancellations and Rescheduling
4.1 You may cancel or reschedule a workshop by giving us at least 14 calendar days' notice in writing.
4.2 If you cancel within 7–13 calendar days of the workshop date, 50% of the fee is payable.
4.3 If you cancel within 6 calendar days or fail to attend, 100% of the fee is payable.
4.4 We may cancel or reschedule due to illness or unforeseen circumstances, and will offer a full refund or alternative date.

5. Client Responsibilities
You are responsible for:

  • Providing accurate information and any required access in advance.

  • Ensuring participants behave professionally.

  • Ensuring the venue (if applicable) is fit for purpose.

6. Liability
6.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot lawfully be limited.
6.2 Subject to 6.1, our total liability shall not exceed the fees paid for the specific workshop giving rise to the claim.
6.3 We are not liable for indirect, consequential, or economic losses.

7. Confidentiality
Both parties agree to keep confidential all information clearly marked or understood to be confidential and not disclose it to third parties, except as required by law.

8. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
